SERG DEVELOPMENT PTE. LTD. (hereinafter “Payclick.com”) is an advertising agency offering a user-friendly platform for interaction between webmasters and advertisers on the website payclick.com (hereinafter “Website”).
The use of the Website is the subject to the compliance with the Website Terms of Use (hereinafter “Conditions" or "Terms”). These Terms shall also apply to any trial use of the service. By using the service you agree to these Terms. If you do not agree to these Terms, please restrain from any use of this service.
These terms include the terms of use of the Website by a webmaster and / or an advertiser for the above purposes.
Payclick.com reserves the right to amend the terms of use at any time by posting an updated Terms of Use on the Website, without any prior notice to advertisers and / or webmasters by e-mail or otherwise.
It is the user’s responsibility to regularly check the Website for any updates of the Terms Of Use. The user is deemed to have accepted such changes by default while continuing using the Website after the publication of these changes on the Website.
By registering on the Website to create an account, you confirm that you are at least 18 years old or the jurisdiction of your country of residence allows you to use the service, and you are fully capable and fully agree with these Terms of Use. If you represent the interests of a legal entity on behalf of which you create an account, you hereby certify that you are its legal representative.
The account owner is solely responsible for the use of the account, and shall comply with all the rules set forth in these Terms of Use of the Website, as well as all other terms of use posted on the Website.
As a part of the registration process, you will need to present your email address and create a password to log into the system, and provide contact details and billing information for payment. Thus you acknowledge using your personal e-mail address for the registration purposes and no third party shall have access to your email and your account. Payclick.com may restrict the use of a specific account name or email address during registration without providing any reasons. You are solely responsible for the accuracy of your personal information and agree to keep your password and account information confidential. Failure to do so will constitute a breach of these Terms and Payclick.com reserves the right to cancel your account. You agree to immediately notify Payclick.com of any unauthorized use of your account or any other breach of security, including, but not limited to, theft or unauthorized disclosure of your password. In addition, you acknowledge and agree that you will be responsible for all activity performed on behalf of your account.
Payclick.com reserves the right to terminate or suspend your account at any time. The reasons include, but are not limited to, the violation of any of these Terms, including payment terms, being unable to verify any information provided by you to Payclick.com, and your actions being illegal, fraudulent, abusive may result in legal proceedings initiated by Payclick.com or any third party.
The account holder can view interactive reports which form a part of the reporting system of Website. In all cases, we adopt commonly used methods and practices to guide and measure traffic.
This Agreement and the subsequent relations between Payclick.com and advertisers and / or webmasters shall be interpreted in accordance with the laws of the Singapore.
Payclick.com grants you a non-transferable, non-exclusive limited license to use the Website in order to implement advertisement activities, but does not entitle you to any other commercial activities or other use of the Website or any part thereof.
Your license is valid until the termination of use of the Website. This license will terminate if you fail to comply with any of the Terms of use of the Website. Additionally, Payclick.com has no obligation to provide you notice of such termination.
Payclick.com, as the owner of the Website, also has other rights in addition to those above.
Exempt Payclick.com from liability for errors in the statistical reporting (you acknowledge and agree that the statistics is the subject to review only for the reasons that include error handling, fraudulent clicks, etc.). As a rule, the statistics is updated several times a day. The statistics produced by payclick.com is considered to be the only true.
Notify us via email if you want to delete your account permanently;
Accept Payclick.com terms of payment, payoffs and so on, indicated on the Website or sent to you by e-mail.
Not to break the rules, including but not limited to, the Privacy Policy or any other agreement or regulation published on Payclick.com
Not to violate any applicable laws, decisions or regulations, including but not limited to regulations applicable to advertising activities, financial services, consumer protection, unfair competition, the prohibition of discrimination, racism, nationalism.
Not to offer or distribute counterfeit goods, services, schemes actions (for example quick money-scheme), chain letters, pyramid schemes and not to engage in any unfair, fraudulent activities.
Not to violate the copyrights, patents, trademark rights, trade secrets or other intellectual property rights, and rights of publicity or privacy of any person.
Not to violate confidentiality and not to disclose obligations that you have with other parties;
To remove any advertisement data if there is such:
defamatory, libellous, pornographic, threatening, and inciting for violence;
humiliating or demeaning towards a person or group of people on religion, gender, sexual orientation, race, ethnicity, age or disability basis
composed of false, inaccurate or misleading information.
To collect or disseminate any information on any other users of the Website or account owners, including, but not limited to, any personal data or information, or use such information for marketing purposes, unless you get permission from these users and account owners.
To offer or otherwise distribute any form of sexual services, including, but not limited to, any pornographic materials and services, those that require age limit and so on.
To artificially inflate clicks or use fraudulent methods, manually or automatically, of implementation of clicks.
To start/register a new account on the Website, if your previous was blocked due to the event of violation of the Terms;
To falsify headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Website;
To modify, adapt, translate, create derivative works; decompile, disassemble or otherwise attempt to derive source code from the Website, its software or technology; or try to create a similar service or a website through the use of or access to the Website or technologies associated with it;
To use viruses, Trojan horses, worms, or other computer programs that may damage, interfere with, surreptitiously intercept or expropriate any system, data or information; or to use any device, software that interferes with normal functioning of the Website;
The content, graphics, design and other matters related to the website of Payclick.com are protected in accordance with the laws of copyright, trademarks and other proprietary (including but not limited to intellectual property) rights. Copying, reproducing, framing, using or publication of any such matters or any part of the Website is strictly prohibited.
You, as an advertiser, are entirely responsible for all content of the advertisement you are sending for display. Payclick.com does not check the content and is not responsible for the accuracy, integrity or quality of any content. Under no circumstances Payclick.com shall be responsible in any way for any content, including, but not limited to, any errors or omissions, any loss or damage of any kind incurred as a result of the use of any content. You agree that you must evaluate, and bear all risks associated with the use of your advertising materials.
The Website may contain links or direct you to the websites owned or operated by third parties ("third party websites"). We do not control and do not accept any responsibility for the operations of these third party websites and their properties, neither are we responsible for the content of these websites. You are using these third party websites at you own risk.
You agree to compensate Payclick.com for all losses in the event of any claims, charges, costs and expenses (including legal fees) arising from: (a) misuse of the website; (B) improper operation of the system or (c) a a breach of this Agreement.
Payments to Publishers (Webmasters) are made once a week by wire transfer to the bank account or bank cards. Also there are other payment methods available: WebMoney, PayPal, Payoneer, ePayments. The Terms of payments can be changed upon the decision of Payclick.com. Minimum payment amounts to 20 USD. If the balance is less than stated above, Payclick.com will add the unpaid amount to the next payment. Payments are made in USD. Payclick.com assumes no liability and makes no representations or guarantees with respect to the timely and proper functioning of the banking payment system. Webmaster is responsible for presenting valid payment details, and if the details are wrong or if the Webmaster changes it, it is the Webmaster’s responsibility to notify by mail 3 days prior to Payment due date. Webmaster will bear payment fees, bank commissions, if it’s required. Payclick.com may, in its sole discretion, refuse to process a payment (and may place a payment hold) on any part of your account for any reason, including breach ot the Terms of Use suspicion on your account. Payclick.com also reserves the right to set-off any amount you owe us, including the amount necessary to cover breaches of this Terms of use. Payclick.com assumes no responsibility for paying any taxes on payments made to you and you acknowledge and agree that it is your complete and sole responsibility to pay for all the taxes applicable to you as a consequence of your participation in the Payclick.com Advertising Network. In certain cases, Payclick.com withholds all the payments until the time we receive necessary tax documentation from you. Payclick.com shall have the responsibility in its sole and reasonable discretion for the calculation of statistics and payments amounts, including, but not limited to the number of impressions, unique Clicks, actions and the revenue generated on or through the Webmaster’s Website.
Ad campaign cannot be launched due to reasons included but not limited to: noncompliance of the advertising materials with the requirements of current legislation, unacceptable quality of the content, other reasons deemed applicable by Payclick.com administration.
The Advertiser may request to stop the campaign. In this case the Advertiser must request all the advertisements to be closed, the campaign to be stopped, and send a request to refund@payclick.com. The refund will be made in the amount of unused funds. The amount must be calculated basing on Payclick.com's reporting system.
A refund request will be considered legitimate only if it has been sent from the email used for Advertiser’s account registration.
The Publisher may apply to terminate providing services to Payclick.com and delete the personal account by an email request to refund@payclick.com. If the Publisher has any funds to be paid, Payclick.com is obliged to make payments within not more than 30 days after the Publisher has applied for the account termination on Payclick.com.
Refund is not proceeded in case the Advertiser or the Publisher breaches Terms of Use, Privacy Policy or other terms and conditions agreed by the parties.
Payclick.com takes no responsibility for uninterrupted operations of the Website under any circumstances. Website maintenance activities may occur at any time. Website does not bear responsibility for Webmasters’ actions under any circumstances. Payclick.com may block Webmasters at any time without any explanation and withhold their payments on suspicion of violating the rules of Website and an advertisement campaign. Payclick.com can block advertisers in case of violation the rights of Third Parties through the content of the advertising materials as well as in case of delay in payment.
The statistics on the advertisement activity provided by Website is deemed to be the only reliable source of data.
Neither Party shall be liable to the other in case of failure or delay in the performance of their obligations under this Agreement due to force majeure, including, but not limited to, fire, hurricane, war, governmental action, strikes, labour strikes, earthquake, natural disaster, or any other reasons arising beyond the reasonable control of that Party.
Payclick.com may at any time change these Terms of Use. Changes take effect immediately upon publishing on the Website.
